If you are not satisfied with your purchase, you may request a refund within 30 days of receipt for a full refund of the purchase price, excluding any shipping, handling, or other charges. THIS AGREEMENT CONTAINS, AMONG OTHER THINGS, AN ARBITRATION PROVISION CONTAINING A CLASS ACTION WAIVER.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize ScriptRank to use all intellectual property and other proprietary rights in and to any content you submit to enable inclusion and use of the content in the manner contemplated by the Site and these Terms.

Service Modifications:
ScriptRank reserves the right at any time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that ScriptRank shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

User Responsibilities:
It is your responsibility to ensure that your use of the Site and Services complies with these Terms and to seek prior written permission from ScriptRank for any uses not permitted or contemplated herein. You are responsible for safeguarding the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.

Third-Party Services:
The Site and Services may contain links to third-party websites or services that are not owned or controlled by ScriptRank. ScriptRank has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services. You further acknowledge and agree that ScriptRank shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

2. Manuscript Submissions and Intellectual Property Rights

Service Scope:
ScriptRank provides a suite of services that leverage artificial intelligence to analyze manuscripts for various purposes, including but not limited to developmental feedback. These services are designed to assist users in refining their work and exploring potential avenues for their manuscripts' development and commercialization.

User Rights and Permissions:
By submitting your manuscript to ScriptRank, you grant us a limited, non-exclusive license to use, analyze, and process your work solely for the purpose of providing the services you have requested. This license includes the generation of reports, summaries, adaptations, or other derivative works as necessary to deliver the service offering.

It is our firm commitment that ScriptRank does not claim any ownership or copyright over your manuscript or any derivative works generated during the analysis. All original and derivative rights, except for the specific uses authorized by you, remain with you, the author.

Your manuscript submission data will be anonymized and aggregated to improve our service quality.

Feedback and Future Services:
Our developmental manuscript report services are designed to provide valuable insights and feedback on your manuscript. We strive to offer constructive criticism and actionable recommendations that respect diverse literary tastes and market demands.

As ScriptRank evolves, we may introduce new services that further utilize the content of your manuscript to support your writing journey. Participation in any future service will be optional and subject to your consent at that time.

Data Handling and Manuscript Deletion:
Manuscripts submitted to ScriptRank are processed with the utmost respect for your privacy and intellectual property rights. Following the completion of the service and generation of any reports, your manuscript may be deleted from our systems in accordance with our data retention policy, unless you opt into additional services that require ongoing access to your manuscript.

We provide assurances that manuscripts are securely stored during the service period and are not retained longer than necessary, ensuring your intellectual property is protected throughout the process.

3. Manuscript Submissions and Intellectual Property Rights

Account Creation:
To access certain features of the Site and utilize the Services, you may be required to create an account with ScriptRank (“Account”). When creating your Account, you agree to provide accurate, current, and complete information as prompted by our registration forms. You also agree to update your information as necessary to maintain its accuracy.

Account Responsibility:
You are solely responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to immediately notify ScriptRank of any unauthorized use of your account or any other breach of security. ScriptRank will not be liable for any loss or damage arising from your failure to comply with this section.

Security Measures:
ScriptRank takes the security of your Account and the information contained within it seriously. We implement a variety of security measures designed to maintain the safety of your personal information. However, no method of transmission over the Internet or method of electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.

Account Security Features:
We may offer additional security features and settings for your Account, such as two-factor authentication (2FA). You are encouraged to use these features to enhance the security of your Account.

Account Access:
In the event that ScriptRank detects any unusual or suspicious activity related to your Account, we may require additional verifications or temporarily suspend your access to the Services for security reasons. We will make reasonable efforts to notify you and restore access once we verify the integrity of the Account.

Termination and Suspension:
ScriptRank reserves the right to suspend or terminate your Account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete. You understand and agree that ScriptRank may take such action without prior notice to you. Users who have had their accounts terminated may not access the Services without the express written permission of ScriptRank.

By creating an Account with ScriptRank, you affirm that you will abide by these terms and all other Terms of Service outlined by ScriptRank. Failure to comply with these terms may result in account suspension, termination, and/or legal action.

4. Privacy and Data Use

Data Collection:
ScriptRank collects information from you when you use our Site or Services, including but not limited to, when you register for an account, submit your manuscript, or use any of our analysis tools. The types of information collected may include personal information (such as name, email address, and other contact details), manuscript content, and usage data of our services.

Use of Data:
The data collected is used to provide, maintain, protect, and improve the current Services, to develop new services, and to protect ScriptRank and our users. We use this information to operate, provide, improve, and personalize our Services, including:

Analyzing manuscripts to provide developmental feedback and reports.
Personalizing your experience based on your history and preferences.
Communicating with you about your account, system updates, or informational and service-related communications, including important security updates.
Research and development purposes to enhance our algorithms and service offerings.
Ensuring network and information security.

Data Sharing and Disclosure:
ScriptRank does not share your personal information or manuscript content with third parties except:

As necessary for the provision of the Services (e.g., sharing data with secure cloud storage services).
With your explicit consent.
For legal reasons, such as to comply with a subpoena or similar legal process, when we believe in good faith that disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or respond to a government request.

Changes to Privacy and Data Use Policy:
ScriptRank may update this Privacy and Data Use policy periodically. We will notify you of any changes by posting the new policy on the Site and updating the "effective date" at the top of this policy. We encourage you to review this policy periodically for any changes.

5. AI Technology Use

ScriptRank leverages artificial intelligence (AI) technologies, including machine learning and natural language processing, to analyze manuscripts and provide developmental feedback, recommendations, and other services designed to support authors, editors, agents, and publishers in the publishing process. We respect the intellectual property rights of authors and creators. The AI-generated insights, recommendations, and any derivative content produced by our services are based on the analysis of your manuscript. All original and derivative rights to the manuscript content remain with you, the author or rightful owner. ScriptRank claims no ownership over your manuscript or the original intellectual property therein.

Transparency and Ethical Use:
ScriptRank is committed to the ethical use of AI technologies. We strive for transparency in how our AI works and its limitations. Our goal is to complement the human creative process, not replace it. 6. Content Standards and User Conduct

Content Standards:
ScriptRank is committed to fostering a productive, respectful environment for authors, editors, agents, and publishers. Users of our services must ensure that all content submitted, including manuscripts, comments, and communications, complies with the following standards:

Lawful and Respectful: Content must not contain material that is illegal, defamatory, libelous, threatening, abusive, hateful, or racially or ethnically offensive.
Ownership and Permissions: Users must own or have all necessary licenses, rights, consents, and permissions to use and authorize ScriptRank to use all intellectual property and proprietary rights in and to any content submitted.
Accuracy: Content should be accurate (where stating facts) and genuinely held (where stating opinions).
No Harmful Content: Content must not promote violence, violate someone's privacy, or otherwise contain content that could harm or distress individuals.

Upload, post, transmit, share, store, or otherwise make available any content that we deem to be objectionable, restricts or inhibits any other person from using or enjoying the Site, or which may expose ScriptRank or our users to harm or liability of any type.

Enforcement and Compliance:
ScriptRank reserves the right to review and monitor content for compliance with these standards, and to take appropriate action for any violations, including but not limited to removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities as necessary.

The Services may also present or allow for the submission of third-party content, including but not limited to articles, analysis, commentary, or user submissions. ScriptRank does not review, approve, monitor, endorse, warrant, or make any representations with respect to third-party content. You use all third-party content and interact with third-party websites at your own risk.

Disclaimer of Responsibility:
While ScriptRank aims to provide links only to reputable and ethical websites, we cannot guarantee the standards of every website link we provide or be responsible for the contents of non-ScriptRank sites. The inclusion of any links does not necessarily imply a recommendation or endorse the views expressed within them.

However, it is also the responsibility of the user to review the Terms of Service periodically for any updates or changes. Your continued use of the services following the posting of any changes to the Terms constitutes acceptance of those changes.

Temporary Suspension:
ScriptRank may also temporarily suspend access to the services without notice for security reasons, system failure, maintenance and repair, or other circumstances. We aim to limit the frequency and duration of any such suspensions or interruptions but are not responsible for any damage or loss you may suffer as a result of such actions.

Termination by ScriptRank:
ScriptRank reserves the right to terminate or suspend your access to the services at any time, without notice, for any reason, including but not limited to, breach of these Terms of Service. In the event of termination, you will still be bound by your obligations under these Terms, including the warranties made by you, and by the disclaimers and limitations of liability. Additionally, ScriptRank shall not be liable to you or any third-party for any termination of your access to the services.

Termination by User:
Users may terminate their use of ScriptRank's services at any time by ceasing further use of the services or deleting their account, if applicable. Please note that even after your account is terminated, certain sections of these Terms may remain in effect.

Effect of Termination:
Upon termination, all rights granted to you under these Terms will immediately cease, and you must cease all use of the services. ScriptRank reserves the right, but has no obligation, to store or delete your information or data stored on our servers post-termination, in accordance with our Privacy Policy and applicable law.

Survival:
Sections of these Terms that, by their nature, should survive termination of your use or access to the services, will survive, including, but not limited to, ownership provisions, warranty disclaimers, and limitations of liability.

9. Disclaimers and Limitation of Liability

Disclaimers:
The services provided by ScriptRank and all content, materials, information, software, products, and services included in or available through the site are provided "as is" and "as available" for your use. The services are provided without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. ScriptRank does not warrant that the services will be uninterrupted or error-free, that defects will be corrected, or that the services or the server that makes them available are free of viruses or other harmful components. ScriptRank does not warrant or make any representations regarding the use or the results of the use of the services in terms of their correctness, accuracy, reliability, or otherwise.

Limitation of Liability:
To the fullest extent permitted by applicable law, in no event will ScriptRank, its affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

You acknowledge that AI-based services, including those provided by ScriptRank, are inherently subject to limitations and potential errors. ScriptRank does not guarantee that the services will meet your specific requirements or expectations or that the analysis and feedback provided will be error-free, accurate, or reliable at all times. Users should use their judgment and discretion in using the services and any generated content.

User Responsibility:
You specifically acknowledge and agree that ScriptRank is not liable for any defamatory, offensive, or illegal conduct of any user. If you are dissatisfied with any ScriptRank material, or with any of ScriptRank's terms and conditions, your sole and exclusive remedy is to discontinue using the services.

Jurisdictional Limitations:
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless ScriptRank, its parent, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Site and Services, including, but not limited to, your User Content, any use of the Site's content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Site.

This indemnification obligation will include, without limitation, any claims arising out of or relating to:

Any intellectual property infringement claims related to the content you provide.
Any breach or alleged breach by you of these Terms of Service.
Your unauthorized use of the Content or Services provided by ScriptRank.
Any act or omission by you which results in damage to ScriptRank or third parties.

You agree that ScriptRank will have the right to control the defense, settlement, and resolution of any such claims at your expense. You should not settle any third-party claim or waive any defense without our prior written consent.

This indemnification section is intended to be as broad and inclusive as permitted by the laws of the jurisdiction in which you use the Services. If any portion of this section is held to be invalid or unenforceable under any given legal system, then the invalid or unenforceable portion will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the indemnification section will continue in effect.

11. Dispute Resolution and Arbitration Agreement

Agreement to Arbitrate:
You and ScriptRank agree that any dispute, claim, or controversy arising out of or relating to these Terms of Service or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate (collectively, "Dispute"), shall be determined by arbitration in the State of Virginia, before one arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) pursuant to its Commercial Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

Class Action Waiver:
You and ScriptRank agree that any arbitration will be conducted in your and our individual capacities only and not as a class action or other representative action, and you and ScriptRank expressly waive the right to file a class action or seek relief on a class basis. YOU AND SCRIPTRANK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, and not as a plaintiff or class member in any purported class or representative proceeding.

Exception - Small Claims Court Claims:
Notwithstanding the parties' decision to resolve all disputes through arbitration, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction.

Opt-Out of Agreement to Arbitrate:
You have the right to opt-out of the agreement to arbitrate by sending electronic notice of your decision to opt-out to contact@scriptrank.io, within 30 days after first becoming subject to this arbitration agreement. Your notice must include your name and address, the email address you used to set up your ScriptRank account (if you have one), and an unequivocal statement that you want to opt-out of this arbitration agreement. If you opt-out of this arbitration agreement, all other parts of these Terms of Service will continue to apply to you. Opting out of this arbitration agreement has no effect on any previous, other, or future arbitration agreements that you may have with us.

Amendments to this Section:
Notwithstanding any provision in these Terms of Service to the contrary, you and we agree that if we make any amendment to this Dispute Resolution and Arbitration Agreement (other than an amendment to any notice address or site link provided herein) in the future, that amendment shall not apply to any claim that was filed in a legal proceeding against ScriptRank prior to the effective date of the amendment. The amendment shall apply to all other disputes or claims governed by the agreement to arbitrate that have arisen or may arise between you and ScriptRank. We will notify you of amendments to this section by posting the amended terms on the ScriptRank website at least 30 days before the effective date of the amendments and by providing notice through email.

12. Governing Law and Jurisdiction

Governing Law:
These Terms of Service and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Site and Services provided by ScriptRank shall be instituted exclusively in the federal courts of the United States or the courts of the Commonwealth of Virginia, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration Location:
For any disputes subject to arbitration as outlined in the Dispute Resolution and Arbitration Agreement section of these Terms, the arbitration shall take place in the State of Virginia, providing a consistent location that aligns with the governing law specified.

Waiver of Jury Trial:
You hereby waive any right to a jury trial in any proceeding arising out of or related to these Terms of Service. This waiver is a significant part of our agreement to arbitrate disputes and allows for less formal, more expedited resolution of disputes.

13. General Provisions

Entire Agreement:

No waiver by ScriptRank of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ScriptRank to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

Amendment:
ScriptRank reserves the right to amend these Terms of Service at any time and will notify you of any such changes by posting the revised terms on the Site and updating the "Last Updated" date at the top of the Terms of Service. Your continued use of the Site and Services following the posting of changes will constitute your acceptance of such changes.

Assignment:
You may not assign or transfer these Terms of Service, by operation of law or otherwise, without ScriptRank’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. ScriptRank may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

All notices given by you to ScriptRank must be given to ScriptRank at contact@scriptrank.io. ScriptRank may give notice to you at the e-mail address you provide to us when you register, or in any of the ways specified in the provisions above.

Headings:
The headings in these Terms of Service are for convenience only and shall not affect their interpretation.

Governing Language:
In the event of any discrepancy between the English version of these Terms of Service and any translated version, the English version shall prevail.
